Is it time to eliminate the OBO classification? In his latest piece for Corporate Board Member, Alliance Advisors founder & CEO Joseph Caruso delves into the complexities of shareholder transparency and advocates for the removal of the "Objecting Beneficial Owner" (OBO) status. 🔍Under current SEC rules, many shareholders—especially high-net-worth individuals, hedge funds, and even foreign or sanctioned entities—can hide behind the Objecting Beneficial Owner (OBO) designation. This prevents public companies from knowing who owns their shares, even as banks, brokers, and private companies are required to disclose beneficial ownership. 📉 "Having an unidentifiable shareholder segment with a meaningful share position can easily cause havoc to the outcome of a shareholder meeting," Caruso writes. Smaller companies suffer the most, often bearing the brunt of costly outreach campaigns while dealing with lower retail investor participation. Even more concerning, the OBO system allows potential bad actors to mask ownership—while companies are left in the dark. 🏛In contrast, the Corporate Transparency Act (CTA) now requires private companies to submit beneficial ownership information to FinCEN. So why are public companies—the largest and most visible entities—still restricted from knowing who their shareholders are?
