The Commonwealth Climate and Law Initiative (CCLI) has released a report urging Japanese company boards to take a more proactive approach to climate risk governance. The study emphasises that boards are collectively responsible for managing climate-related risks, even when specific tasks such as climate disclosures are delegated to committees. Failing to integrate climate considerations into governance practices could expose companies to regulatory fines, financial losses, and potential lawsuits. With economic hubs like Tokyo and Osaka facing increasing threats from typhoons, rising sea levels, and extreme heatwaves, the report warns that directors who neglect to seek expert advice on climate risk management could be found in breach of their duty of care. While Japanese law grants directors broad discretion over business decisions, the CCLI suggest that courts in Japan may adopt a stricter stance than other jurisdictions when assessing director responsibilities. As Sarah Barker, Managing Director at Pollination Law and Commonwealth Climate and Law Initiative (CCLI) Board member, puts it: "This report underscores the urgent need for boards to proactively and diligently consider how climate change may impact the risk and strategy of their companies. The financial and legal consequences of inaction are growing, and the repercussions for both corporate competitiveness and personal liability are significant." With the financial and legal stakes rising, it is no longer an option for boards to ignore climate risks. In 2024 Waitrose unveiled its pioneering ‘Farming for Nature’ programme which committed to support more than 2000 of its British farmers to move to nature-friendly farming practices, helping to boost financial resilience of farms in the long-term and combat the effects of climate change. The ESG landscape in the U.S. is shifting as sustainable investors navigate new SEC rules amid ongoing policy changes. Despite this, Pollination's Head of Impact and Strategy, Zoe Whitton, emphasises that the broader global momentum for ESG will continue. “Policy shifts in the U.S. are unlikely to disrupt investment flows in Europe, Asia and the Pacific, where the business case remains strong. Even in the U.S., renewables will continue to be the most cost-effective power source in many cases, though investment decisions may become more complex due to the anti-green agency from the new administration.” She continues: “Sustainability commitments are embedded across governments and businesses globally. Pollination Director Valerie Pinkerton talked to the Sustainability Risk Review recently about progress at the reconvened COP16 and what corporates need to be aware of, as well as the growing focus on the need for nature-based solutions, accessing reliable data on nature-related risks, and how global reporting standards can be aligned. She said, "We’re observing an emerging trend towards an integrated approach to climate and nature, grounded in a clearer understanding of the significant role of nature in supporting climate change mitigation and adaptation. This is evidenced in uptake of nature-based solutions (NbS) for climate solutions, for example through the price premium realised by carbon removal projects, with significant biodiversity co-benefits."
