In his latest article in The Business Times, Sutat Chew 周士达, Pro-Tem Chairman of SGListCos, reflects on the recent corporate governance challenges at City Developments Limited (CDL) and the broader lessons for listed companies.   The dispute between City Developments Ltd (CDL) Executive Chairman Kwek Leng Beng, Group CEO Sherman Kwek, two directors and the majority of its board has sparked significant commentary around governance, board dynamics, and transparency. Despite the legal battles, CDL's prompt and clear communication helped maintain investor trust, demonstrating the power of transparency during turbulent times.   𝗦𝘁𝗿𝗲𝗻𝗴𝘁𝗵𝗲𝗻𝗶𝗻𝗴 𝗚𝗼𝘃𝗲𝗿𝗻𝗮𝗻𝗰𝗲 𝗧𝗵𝗿𝗼𝘂𝗴𝗵 𝗕𝗼𝗮𝗿𝗱 𝗥𝗲𝗻𝗲𝘄𝗮𝗹 𝗮𝗻𝗱 𝗗𝗶𝘃𝗲𝗿𝘀𝗶𝘁𝘆   Sutat highlights that good corporate governance is not just about adhering to form but focusing on the substance behind decisions. The article underscores the importance of board renewal, particularly to avoid the risks posed by long-serving directors who may struggle with objectivity. Succession planning and regular board renewal are vital to ensure fresh perspectives and robust governance.   Promoting diversity and strategic succession planning can strengthen decision-making and maintain the board's independence, which in turn enhances governance and supports a company's long-term success.   In line with these governance improvements, the Monetary Authority of Singapore (MAS)'s equities market review group has proposed a shift towards greater disclosure and less regulatory merit judgement, allowing the market more flexibility.
