Legal Counsel (US)

Pactum AI United States

Pactum is looking for a motivated Legal Counsel – Commercial to join our Legal team in the US. Reporting to General Counsel, you will be tackling various legal matters that arise in our dynamic, fast-paced, innovative and international B2B Technology startup (Series B). We are still in early phases of growth where processes still need to be developed and your expertise will contribute to our expansion. A significant portion of your time will be dedicated to commercial matters and agreement reviews. You will be working cross-functionally with many key company stakeholders, across the United States and Europe, and be involved in many exciting and critical business matters. You will have an opportunity to negotiate with some of the world’s largest enterprises, since Pactum’s customers are mainly Fortune 500 companies.

If you are a practical, business and growth-minded problem solver, with excellent ownership mindset and hands-on approach, as well as a strong team player who can work independently, we want you to apply!

We are looking for someone who will:

  • Draft, review, negotiate and manage the full lifecycle of various multi-jurisdictional commercial and technology related agreements, including enterprise SaaS, DPAs, enterprise software license, NDAs, professional services, vendor and various partner agreements (e.g. SaaS reseller, alliance, teaming, technology partner agreements).
  • Review various commercial and product initiatives from a legal and compliance perspective.
  • Support our growing sales organization in negotiating and closing revenue-generating agreements with sophisticated enterprise clients, including high-value and complex enterprise-level deals on counterparty paper.
  • Identify opportunities for improvement in processes, tools, templates, policies, knowledge management, compliance frameworks, and other related areas, and help implement those improvements.
  • Conduct legal research and analysis and proactively recognize and propose solutions to potential legal and compliance issues.
  • Provide practical legal advice and prepare legal documents where required.
  • Work cross-functionally with teams located in Europe and in the US such as e.g. Sales, Product, Engineering, People, Security and Finance.
  • This is a small legal team so you will have ample opportunity (and be expected to) pitch in and work on matters outside of your main focus areas. This means you will also advise and support on a variety of other tasks as required, e.g. in relation to US Employment law matters as they arise, corporate governance, intellectual property, regulatory, compliance etc.
  • Handle legal coordination and administrative tasks.
  • Respond to other ad hoc legal requests and provide legal guidance.
  • Stay current on relevant laws, regulations, and developments to provide the most up-to-date guidance.

You are likely to succeed if you:

  • Have 5+ years of relevant experience in the in-house legal department of a similar organization or at a well respected law firm, or equivalent experience. Cross-border and international experience is a considerable asset.
  • Are based on the US East Coast or Central time zone.
  • Have a JD from an accredited US law school, and bonus points if you have been admitted to at least one state bar in the US
  • Have demonstrated excellence and accuracy in legal drafting and negotiating various sophisticated and complex agreements, including enterprise-level agreements and personal data processing agreements.
  • Have working knowledge of data protection laws.
  • Have demonstrated strong capability to manage several simultaneous tasks or projects under deadline pressure, think strategically, handle ambiguity and shift priorities with flexibility, patience, and poise. Have strong ability to make risk-based commercial decisions.
  • Have high ethics, accountability and resilience.
  • Have a proactive and self-starter approach. You are eager to gain expertise in new complex areas of the law, and also willing to work on “bread and butter” type of tasks, including basic agreements. You are not afraid to get your hands dirty with whatever lands on your desk. You roll up your sleeves, work efficiently and get things done on time with limited guidance.
  • Have strong collaboration and project management skills, and a strong ownership mindset.
  • Are organized and meet deadlines.
  • Have a proactive approach to recognizing needs, anticipating issues, and solving problems.
  • Bonus: If you have expertise with US employment law and are interested in handling employment-related matters.
