    Can a 20% tariff excuse a missed delivery? In April 2025, Howmet Aerospace said yes—invoking force majeure to halt shipments after new U.S. tariffs on EU goods took effect. That move forced aerospace firms and their counsel to scrutinize contracts for similar protection. It’s a timely reminder to review whether your agreements account for tariff risk. A few questions to ponder: 1/ does a termination right for a change in law capture a tariff? 2/ does a force majeure clause capture things that make it impractical or other circumstances that could include tariffs? 3/ does the tax responsibility for tariffs fall on the customers? 4/ Is there language allowing renegotiation or cost sharing in the event of sudden tariff increases?
