  • The Corporate Transparency Act (“CTA”) remains in flux, with shifting regulations and ongoing legal challenges creating uncertainty for reporting companies. Currently, there are no injunctions preventing CTA enforcement, but FinCEN has issued guidance that the CTA and beneficial ownership information report filing requirements will not be enforced and no penalties levied for non-compliance by the March 21, 2025 extended reporting deadline, applicable to most entities. FinCEN intends to issue a revised, limited rule focusing on foreign entities operating in the U.S. only.
