Flow-down, or pass-through, clauses are common in construction contracts, ensuring consistency among contractors. While they promote uniformity and streamline compliance, subcontractors may face disadvantages. In the latest edition of the Construction Industry Counselor, Partner Lisa Colon details the case in PowerCom, Inc. v. Valley Elec. Co. of Mt. Vernon, Inc., in which a subcontractor's ability to seek redress directly from the project owner was severely constrained by a flow-down dispute resolution clause. When assessing delays, the ownership and type of float can have a big impact on claims. Not all float is created equal, and its allocation often depends on your contract. Understanding this is vital. Here are the main types of float to know: Free float: The time an activity can be delayed without affecting any other activity. Total float: The time an activity can be delayed without impacting completion or milestone dates. Terminal float: Specific to NEC contracts, this is the time between planned and contractual completion dates. Misunderstanding float can lead to disputes or missed opportunities.
