Simpson Thacher is representing KKR in its entry into a definitive agreement to sell its 23.4% interest in Colonial Pipeline to Brookfield Infrastructure Partners. KKR is selling alongside affiliates of Caisse de dépôt et placement du Québec, Shell, Koch Industries and IFM Investors in a deal valued at about $9 billion. The transaction is expected to close in the second half of 2025 and is subject to customary closing conditions. Colonial's pipeline system stretches over 5,500 miles from Houston in Texas to New York's harbor. It moves 100 million gallons of fuel daily, including gasoline, jet fuel, diesel and heating oil. We represented BC Partners Credit, the private credit arm of BC Partners, in the establishment and final close of its flagship Special Opportunities Fund (“SOF III” or the "Fund”), which secured $1.4 billion in investable capital and surpassed its original target. SOF III is approximately 20% larger than its predecessor fund, SOF II, and is BC Partners’ largest Special Opportunities Credit Fund to date. The Fund will follow the same successful strategy as SOF II, seeking to deliver strong consistent all-weather returns, by providing capital solutions to entrepreneurs and sponsor-backed companies, asset-backed financing and liquidity solutions primarily across North America. We have represented EQT on the formation and raising of its flagship infrastructure fund, EQT Infrastructure VI (“The Fund”), which has raised €21.5 billion in total commitments, exceeding the €20 billion target and reaching its hard-cap. This represents a 35% increase on the Fund’s predecessor, owing to strong support from both existing and new investors. The Fund received commitments from a diversified, global group of institutional investors, including pension funds, sovereign wealth funds, asset managers and insurance companies. The private wealth segment represented an increased share compared to the predecessor vehicle. Fund investors were based across the Americas, Asia Pacific, Europe, the Middle East and the Nordics.
