Startups on Carta raised 4,611 pre-seed rounds during the third quarter of 2024. About 88% of these rounds were SAFEs, and just 12% were convertible notes. The SAFE—Simple Agreement for Future Equity—has only existed as a fundraising mechanism since 2013. But already, it’s become the dominant mechanism used by early-stage companies to raise capital at the earliest stages. SAFEs haven't only surpassed convertible notes in popularity. For smaller seed investments, SAFEs are now also more common than priced equity rounds, too. As you can see in the chart below, more than 75% of all priced seed investments in the past year smaller than $1 million were structured as SAFEs. “SAFEs are so much more common than they were 10 years ago,” Julia Gudish Krieger of Pari Passu Ventures told me for a recent story looking at the SAFE takeover. “I think it’s become the standard for pre-seed and seed in many ways, unless you’re doing a really sizable seed.” A big thank you to Julia for taking the time share her expert view on the early-stage scene for this one.
