In a new BRiefing, Jonathan Richman examines the Fourth Circuit’s recent decision affirming the dismissal of a securities class action for failing to plead loss causation based on a short-seller report. The DeFeo v. IonQ decision found that the short-seller report did not establish loss causation with “sufficient specificity” because the report had been published by a “self-interested” short-seller. In so ruling, the Fourth Circuit followed two decisions from the Ninth Circuit. “Like the Ninth Circuit, the Fourth Circuit did not hold that ‘a short-seller’s report can never support the loss causation element’ of a securities-fraud claim, and it declined to ‘impose a categorical ban on using short-seller reports to plead loss causation,’” Richman wrote. “But the Fourth Circuit’s decision, like the Ninth Circuit’s prior rulings, probably will increase the skepticism with which courts view short-seller reports as the bases for securities-fraud claims arising from stock-price declines following the issuance of such reports.” Click image to read the full post. https://lnkd.in/e7Yx5ay4

Partner Wayne Dennison is quoted by Law360 regarding Meta Platforms’ struggle to convince Massachusetts' top court to dismiss a lawsuit claiming it illegally hooks kids on Instagram. The Massachusetts Supreme Judicial Court will review a ruling that rejected Meta's arguments for dismissing Attorney General Andrea Joy Campbell's lawsuit based on Section 230 and the First Amendment. Meta has repeatedly claimed its platforms are safe, including in media interviews and congressional testimony. However, the attorney general's lawsuit argues that internal data shows Instagram's addictive nature harms children, contradicting those claims. Dennison said that argument is the strongest for the commonwealth in getting around Section 230's broad protections and Meta's First Amendment arguments. "Perhaps you do have protection in the way you design your site, but you can't lie about it," Dennison said.
