Last week, the Financial Crimes Enforcement Network announced its interim final rule regarding the Corporate Transparency Act’s beneficial ownership information filing requirements: All entities formed in the U.S. and their beneficial owners are exempt from the BOI filing requirement. Beneficial ownership information reporting requirements under the Corporate Transparency Act (“CTA”) are once again in effect. The Financial Crimes Enforcement Network (“FinCEN”) released a statement confirming that entities (1) that were required to file by January 1, 2025, and (2) that would have been required to file before March 21, 2025, must now submit their BOI filings by March 21, 2025. This applies to all initial, updated, and/or corrected BOI filings. In light of the foregoing, entities should be prepared to meet this new March 21, 2025 filing deadline or their respective later filing deadline. On Thursday, January 23, David Krco will be speaking at the 17th Annual Construction Summit hosted by the Minnesota Real Estate Journal. In his session “Strategies for Managing and Resolving Disputes”, David and other panelists will discuss different communication and documentation strategies, early risk identification, and recent court decisions and their implications on construction dispute management.

After a December 26 order from the 5th Circuit Court of Appeals to once again suspend enforcement of the Corporate Transparency Act (CTA), the Financial Crimes Enforcement Network (FinCEN) issued a statement confirming that reporting companies are not currently required to file beneficial ownership information while the injunction remains in effect. In light of the ongoing uncertainty, entities that have not yet filed should be prepared to file on short notice if the preliminary injunction is once again stayed or overturned, resulting in a new filing deadline being imposed on short notice. Our Business & Corporate Law team will continue to monitor further developments as additional challenges and appeals are ongoing. Minnesota CLE hosted its annual Trust and Estate Litigation forum this week and introduced the first edition of their latest deskbook of the same name.
