About the Role:

Are you a driven lawyer with 3-6 years PQE looking for a challenging and rewarding opportunity? Join Trayport's legal team and the broader TMX Legal & Corporate Affairs team, reporting to the Head of Commercial and Legal. This role offers valuable experience advising Trayport and its affiliates on a variety of commercial and transactional issues, with significant opportunities for professional growth within a dynamic and innovative environment.


Key Responsibilities:

  • Draft, review, and negotiate a wide range of commercial contracts across various internal business lines.
  • Partner with the vendor management team on all supplier contracts, including technology and IP licensing, software development, outsourcing, professional services, service level agreements, proof of concept agreements, consulting services, purchasing, distribution, revenue share, and other commercial agreements.
  • Collaborate with business lines to develop and maintain standard form agreements for company products and services, supporting strategic initiatives and day-to-day operations.
  • Support the contractual aspects of complex commercial transactions, including strategic projects, business alliances, internal reorganizations, acquisitions, and divestitures.
  • Provide legal counsel and support for the development and execution of commercial strategies and initiatives, including new product/service launches, business/asset/technology acquisitions, and outsourcing transactions.


Advise on a broad spectrum of daily commercial matters, including:

  • Technology initiatives
  • Intellectual property
  • Information security
  • Corporate policies
  • Contract interpretation
  • GDPR and privacy
  • Competition law compliance
  • Liability and legal disclaimers
  • Promotion and marketing materials
  • Financial regulation
  • Dispute resolution and litigation management
  • Procurement and supplier management


About You:

  • Qualified Solicitor in England and Wales (or European equivalent) with a current practicing certificate.
  • Strong understanding of technology, data rights, and SaaS. Experience with API licensing is highly desirable.
  • 3+ years of relevant post-qualification experience in commercial contract law.
  • Proven ability to draft, negotiate, structure, and advise on diverse commercial contracts and transactions, including those related to IT and procurement.
  • Strong commercial acumen and the ability to assess risk and provide sound advice to business stakeholders.
  • Solid understanding of intellectual property law and technology-related legal principles, including open source.
  • Experience protecting IP and managing IP portfolios (trademarks, domain names, patents, and copyrights) is a significant advantage.
  • Excellent written and verbal communication, negotiation, and drafting skills, with demonstrated sound legal and business judgment.
  • Experience in policy management and development is beneficial.
  • Outstanding analytical and problem-solving skills with meticulous attention to detail.
  • Ability to manage multiple priorities, meet tight deadlines, and thrive in a fast-paced environment.
  • Results-oriented and pragmatic approach, with the ability to explain complex legal concepts clearly to non-legal audiences.
  • Collaborative team player with strong interpersonal skills and the ability to build relationships at all levels.
