Setia Law's Wern-Jhien Yam and Ian Mah successfully acted for the joint liquidators of Fullerton Capital in a landmark decision by the Singapore Court of Appeal. The ruling in Re Fullerton Capital Ltd (in liquidation) [2025] SGCA 11 provides critical guidance on the Centre of Main Interests (COMI) presumption under the UNCITRAL Model Law on Cross-Border Insolvency, reaffirming that the presumption remains the starting point, with challengers bearing the burden of displacing it with sufficient contrary evidence. The Court also took a firm stance on bad faith and material non-disclosure, clarifying that these can engage the public policy exception under Article 6 Model Law. This approach goes further than US jurisprudence and reflects Singapore’s principled, collaborative, and pragmatic approach to cross-border restructuring and insolvency cases. While no bad faith was found in this case, the ruling underscores the importance of transparency and integrity in recognition applications. Congratulations to our team for their work on this case. We wish to congratulate Elvis Zhang on his call to the Singapore Bar following his return from the UK, and to welcome him as an Associate at Setia Law LLC. Before joining Setia, he was practising in the international arbitration team of a global firm in London, handling cross-border disputes and English High Court litigation, including cases involving worldwide freezing orders.   Elvis graduated with first-class honours from Oxford University and was awarded the Mary Somerville Prize for outstanding performance in his final examinations.   Most recently, he was involved in Novo Nordisk A/S v KBP Biosciences Pte.
