Jingtian & Gongcheng Assisted Baidu in Its Issuance of CNY10 Billion Senior Notes On March 12, 2025, Baidu Inc. (“Baidu”, NASDAQ: BIDU, HKEX: 9888) successfully settled its CNY-denominated senior unsecured notes offering (“this offering”) in the offshore market, consisting of CNY7.5 billion of 2.70% notes due 2030 and CNY2.5 billion of 3.00% notes due 2035. Jingtian & Gongcheng Assisted iQIYI in Completing its Issuance of $0.35 Billion Convertible Bonds On February 24, 2025, iQIYI, Inc. (“iQIYI” stock code: IQ.NASDAQ) successfully completed its US $0.35 billion convertible bonds offering ("the offering").   As the PRC legal counsel to the issuer, Jingtian & Gongcheng provided professional and efficient legal services throughout the whole process. Additionally, Jingtian & Gongcheng assisted iQiyi in completing its listing in the United States in March 2018, acting as the issuer's PRC legal counsel, and has continuously participated in iQiyi's refinancing projects in recent years, such as the issuance of convertible bonds and the follow-on offering of American Depositary Receipts.

Jingtian & Gongcheng Assisted MIXUE Group on Its H-share Listing on Hong Kong Exchange MIXUE Group (stock code: 02097.HK) completed its IPO and H-share listing on the Main Board of Hong Kong Stock Exchange on March 3, 2025. Jingtian & Gongcheng Assisted Century-old American Footwear Group Caleres in Acquiring Renowned Brand Stuart Weitzman On February 19, 2025, the century-old American footwear group Caleres (NYSE: CAL) officially announced that it had signed a definitive transaction agreement with Tapestry, the parent company of the Coach brand, to acquire the internationally renowned women's shoe brand Stuart Weitzman for an acquisition amount of approximately $105 million.   As both the PRC legal counsel and Hong Kong legal advisor to Caleres, Jingtian & Gongcheng has provided comprehensive legal services throughout the process, including legal due diligence, transaction structure, transaction documents, and subsequent closing. Our professional and efficient collaborative capabilities contributed significantly to the successful completion of this transaction.
